HuFriedyGroup announced the framework agreement to acquire Mectron S.p.A., an Italian dental equipment manufacturer. The transaction—expected to close by the end of 2026 pending customary closing conditions—would expand the company's dental equipment offerings for preventive care, implantology, and oral surgery.
According to a press release, the agreement followed a distribution relationship established in 2023, when HuFriedyGroup began offering Mectron-manufactured piezoelectric scaling and air-polishing devices in the United States and Canada. The acquisition would incorporate Mectron’s dental operations into HuFriedyGroup’s existing business, which serves dental professionals in approximately 100 countries.
Mectron’s technologies would supplement HuFriedyGroup’s existing products and services, including dental instrumentation, infection prevention, instrument management, conscious sedation, and clinical workflow support. The transaction would also bring Mectron’s dental-focused commercial and research and development personnel into HuFriedyGroup, providing additional technical expertise for product development.
The agreement covers Mectron’s dental business in Italy, the nonmedical operations of its German subsidiary, Mectron Deutschland Vertriebs GmbH, and the dental activities of Piezosurgery Inc. in Columbus, Ohio. Mectron would retain its medical business and continue focusing on piezoelectric technologies for operating room applications.
Following the acquisition's closing, Mectron's facility in Carasco, Italy, would continue manufacturing dental products for HuFriedyGroup under a multiyear supply agreement. A separate transitional services agreement was planned to support continuity for customers, distributors, and suppliers.
Founded in 1979, Mectron developed piezoelectric bone surgery technology in collaboration with Professor Tomaso Vercellotti and introduced its first PIEZOSURGERY device in 2001.
Completion of the transaction was subject to legally required procedures and customary closing conditions. Both companies would continue operating independently until closing, with no immediate changes anticipated for customers, distributors, or suppliers.
